In Iranian law, there are no clear legal provisions in this regard. Of course, the legal Articles: 191 – 192 -339 and 340 of the Civil Code refer to this issue In general. There are many interpretations in the form of books and articles on this subject.

In short:

1-    The deal can only be concluded via offer and acceptance;

2-    The issuance and sending of the invoice is, in fact, a sales offer;

3-    If the invoice has a specified time limit for acceptance, it is valid.  Customer acceptance after this period is not valid;

4-    If there is no time limit in the invoice, Customer acceptance must be made within a reasonable period of time.

5-    The seller can withdraw his invoice as long as the customer has not accepted the offer.
